End User License Agreement

This agreement is a contract between you and GRIM Type Co.
By downloading, accessing, using, or purchasing a license for the Fonts, you accept these terms and conditions. With the purchase of a license, you are granted a limited, non-exclusive, non-transferable license to use the Fonts in accordance with the metrics specified at the time of purchase.
The term "Fonts" refers to the computer software containing representations of the typeface designs for which you are purchasing a license.
All the rights to the Fonts and all intellectual property remain the sole proerty of GRIM Type Co. You may not alter, decompile, or redistribute the font files in any way, nor may you sublicense them to others.
Permitted Use: You may use the Fonts to create visual content,including but not limited to printed documents, logos, packaging, and digital graphics in websites and apps. You are permitted to convert text to outlines and modify the resulting vector shapes for logo design.
Entity-Based Licensing: The license must be held by the entity benefiting from the Fonts (the "Client"). The license tier is determined by the Client’s total Company Size, including all employees and long-term freelancers. If the Company Size grows beyond the licensed tier, a license upgrade is required.
Third Parties: You may temporarily share Font files with subcontractors (e.g., agencies or developers) strictly for work on your projects. If you are purchasing on behalf of a Client, you must ensure the license tier reflects the Client's total Company Size.
This license is non-transferable. In the event of a merger, acquisition, or sale of your company/entity, the license does not automatically transfer to the new owner. The new entity must contact GRIM Type Co. to secure a valid license.
GRIM Type Co. provides Trial Fonts free of charge for any strictly non-commercial purpose. This also includes use by students for academic work, as well as personal or community projects that do not generate revenue. You are welcome to use these fonts at no cost as long as the project remains non-commercial. However, if a project is intended for business use, or if a previously personal or student project evolves into a commercial venture, you are required to purchase the appropriate full license.
The Fonts shall not be used for the following purposes without the prior written consent of GRIM Type Co.:
- Political or religious messaging, or use by political parties, lobbying organizations, or related entities.
- Any context relating to cryptocurrency or Non-Fungible Tokens (NFTs).

Furthermore, the Fonts shall not be used for:
- Web integration using any font formats other than the provided .woff2 files; the use of desktop-oriented formats (such as .otf or .ttf) on websites, as well as the conversion of the provided .woff2 files into any other file format, is strictly prohibited.
- Any application in which an unlicensed third party could use the fonts to customise their own designs or to create static documents or images (f.e. an online design application, iron-on-lettering products, or print-on-demand-service)
- Training an AI (Artificial Intelligence) or any comparable machine learning entity.
- Uploading the Font Software to any public or accessible repository, version control system, or cloud storage platform (e.g., GitHub, GitLab) where it could be accessed by unauthorized third parties.
- Any hateful, discriminatory, or illegal context, as determined at the sole discretion of GRIM Type Co.

The Fonts are provided “as is”. GRIM Type Co. makes no warranties, express or implied, and disclaims all implied warranties, including any warranty of merchantability or fitness for a particular purpose. GRIM Type Co. is not required to address or fix bugs or flaws in the Fonts.
Neither party will be liable for any indirect, special, incidental, or consequential damages. GRIM Type Co.’s total liability shall not exceed the amount paid for the license. You shall indemnify GRIM Type Co. against any claims, damages, or costs arising from your breach of this agreement.
Disclaimer: The Fonts are provided "as is." GRIM Type Co. disclaims all warranties, express or implied, including merchantability or fitness for a particular purpose, and is not obligated to provide technical fixes or bug updates.
Limitation of Liability: Neither party is liable for indirect, incidental, or consequential damages. GRIM Type Co.’s total liability is strictly limited to the license fee paid. You agree to indemnify GRIM Type Co. against any claims or costs arising from your breach of this agreement.
This Agreement and the permission of usage may be terminated without notice by GRIM Type Co. if you fail to comply with any of its terms. Upon termination, you must delete/destroy all copies of the Fonts and cease all use immediately.
This document replaces any prior agreements. It can only be modified in writing. If any part of this agreement is found void or unenforceable, the remainder remains in effect.
This agreement is governed by the laws of Germany. Any disputes will be handled exclusively in Berlin. The “United Nations Convention on Contracts for the International Sale of Goods” does not apply.
Entire Agreement: This EULA supersedes all prior agreements and may only be modified in writing. If any provision is found unenforceable, the remaining terms remain in full effect.
Governing Law: This agreement is governed by the laws of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes is Berlin, Germany.
